With reference to company announcement no. 26 of 13 June 2025, three new candidates are nominated for election to the Board of Directors. The election will take place at the company’s Annual General Meeting in August. The aim is to compose a Board of Directors with strategic competencies. In addition to classic competencies in finance and governance, the new Board will combine experience in retail, technology and internationalisation.
The Nomination and Remuneration Committee also emphasises the importance of Board diversity. They seek a balanced mix of gender, age and professional backgrounds to challenge and support management and the leadership team.
Karen Frøsig is nominated as the new Chair of the Board of Directors. Indeed, Karen Frøsig brings CEO experience from the financial sector, as well as extensive Board experience in Danish and international retail.
Her legal background and insight in strategic business make her an experienced and decisive Board leader.

In addition to Karen Frøsig, two new candidates is nominated to the Board:
Alexander Vilhelm Martensen-Larsen is nominated for Vice Chair. He brings a financial and strategic background from the banking world and from management roles. For instance, he has experience from IC Group, Gubra and the Swedish company Revolution Race, among others. Moreover, he has solid experience with audit committees and will continue the development that has taken place in recent years.
Nicolai Schnack, CTO at Joe & The Juice, is nominated as an ordinary Board member. He is the grandson of principal shareholder Ulf Schnack. With expertise in digitalisation and business-critical systems at an international level, he will significatnly contribute to Flügger’s future.
Bettina Antitsch Mortensen has served on the Board since 2022. She is running for re-election in the new constellation. As a major shareholder in Flügger and owner and director of M+ Group, she brings valuable experience from construction and real estate industries, among other things.
